Commercial Font License Agreement
The Terms of this End User License Agreement (Agreement) will apply between Workhorse Type Foundry (WTF) and You (You, Your, Yours) if You purchase a license or licenses to use WTF’s Font Software (Fonts).
License Grant
- When You purchase a Font, You are purchasing the right to use that Font under a particular set of conditions. It is important to read and understand this Agreement because it defines Your rights, the acceptable uses of the Fonts, and the rights WTF reserves. If You believe Your usage or need is not addressed, or if You are unsure of the meaning of any term or condition, please ask WTF before making a purchase.
- WTF agrees to grant You a license or licenses to use the Fonts on the terms of this Agreement and provided that You comply with these terms. This license is available as a yearly subscription or as a perpetual license that does not expire.
- This license is not exclusive to You, may not be transferred by You, and can be revoked by WTF under the following conditions:
- Violation of any terms outlined in this Agreement, including unauthorized redistribution, modification, or use beyond the purchased Company Size.
- Failure to comply with audit requests verifying Company Size within the specified timeframe.
- Non-payment or chargeback disputes related to the purchase of the Fonts.
- In the event of revocation, WTF will provide written notice via email, granting You 14 days to resolve the issue before the license is officially terminated. If the violation is not remedied within this period, You must cease use of the Fonts and delete all copies.
Definitions
- “WTF” is the Workhorse Type Foundry, a trade name of Havenmade LLC.
- “You”, “Your” and the “End User” are defined as and refer to a customer who has purchased a license to use the Font. An End User is not defined as a distributor, reseller, dealer, sub-licensee, original equipment manufacturer (“OEM”), wholesale buyer, or any similar entity. WTF Fonts and products may not be distributed and/or sold to third parties without prior written consent from WTF.
- “Font”, “Fonts” or “Font Software” have identical meanings in this agreement. They are defined as the designs of the Fonts and the Software identified on Your Sales Receipt that produces a typeface design(s) together with any other artworks that may be associated with the Font.
- “Company Size” is the total number of employees, including full-time, part-time, and contracted staff, working for the Licensee at the time of licensing.
- “Sales Receipt” means the electronic document You receive as confirmation of the Fonts purchased.
License Duration
- Yearly Subscription If You have purchased the Yearly Subscription, as shown on Your Sales Receipt, this license will expire 365 days after the date of purchase. You may renew Your subscription for an additional year for the same price as the first year, up to three times. Meaning, You are entitled to four years of subscription without Your yearly cost increasing.
- Perpetual License If You have purchased the Perpetual License, as shown on Your Sales Receipt, there is no expiry to this Agreement or its terms, so You may use the Fonts in perpetuity with no further licensing costs.
- Upgrade Policy You may upgrade Your Yearly Subscription to a Perpetual License within 30 days of Your purchase by paying the difference in cost between the two options. Contact WTF for details.
Permitted Uses and Restrictions

Permitted Uses
WTF grants You a non-exclusive, non-transferable, limited license to use the Fonts subject to the following terms:
- Installation permitted on unlimited devices, websites, servers, and domains owned or operated by You
- Embedding permitted in digital products, applications, mobile computing devices
- Authorized for print, packaging, broadcast, exhibition, and film usage

Prohibited Uses
You may not:
- Sub-license, sell, lease, rent, distribute, or transfer Fonts to any third party
- Use Fonts beyond the purchased Company Size
- Embed Fonts in web, app, or print files in a manner that allows extraction or unauthorized redistribution
- Modify, reverse engineer, or alter the fundamental design of the Fonts, except for:
- Outlining, flattening, or modifying vectors as is appropriate for use in a logo, illustration, composition, or print-ready file
- File format conversions (.otf, .woff, .ttf)
- Optimizations in character set or file size for apps, websites, or file-restricted environments
Rights Reserved
- You expressly acknowledge that the Font Software, the designs embodied therein, the trade names and/or trademarks and copyrights associated therewith are each the exclusive property of WTF and that WTF has all the necessary rights and titles to license the Fonts to You. All rights not expressly granted under this license are reserved to WTF.
Audits
- At WTF’s request, You agree to provide an audit to confirm Your Company Size does not exceed the purchased Company Size on Your Sales Receipt. WTF will give You at least 14 business days’ notice to complete the audit.
Warranties and Limitations
- WTF's Warranty WTF represents and warrants that the Fonts will perform substantially in accordance with the representations made herein. To make a warranty claim, You must notify the source from which You obtained the Fonts together with a copy of Your Sales Receipt.
- Limitations If the Font does not perform substantially in accordance with the representations, the entire and exclusive liability and remedy shall be limited to the replacement of the Font Software or the refund of the license fee You paid for the Fonts, as an authorized officer of WTF may elect. WTF and its suppliers do not and cannot warrant the performance or results You may obtain by using the Fonts. It is Your responsibility to ensure that the Fonts are fit for Your purpose.
Termination
- Any breach of the terms of this Agreement shall be cause for immediate termination without the obligation of notice or opportunity to cure. WTF shall be entitled to seek any and all remedies under law or equity, without limitation, including injunctive relief without the obligation of posting security or bond. You agree to immediately discontinue using and delete the Fonts and certify that no copy remains in Your possession or control.
Dispute Resolution
- Any dispute or difference arising out of or in connection with this Agreement will be referred to and finally resolved by arbitration in Pennsylvania in accordance with Pennsylvania law. The arbitration shall be by one arbitrator to be agreed upon by both You and WTF.
